America’s Legal Connection Attorney Agreement 
The following is an Agreement between the undersigned attorney and America's Legal Connection (AMLC). America's Legal Connection is operated under the parent company I Ocean Companies.
This Agreement is necessary for you to become eligible to receive legal referrals from AMLC. In addition, to maintain your status as a participating attorney in the referral network, you hereby agree to provide and maintain the following:

Maintain an active license to practice law in your state.
Maintain good standing in your respective bar association or licensing department (whichever is applicable).
Maintain professional liability insurance of at least the minimum amounts required by state law or at least $100,000.00 per incident / $300,000.00 aggregate.

 
Agree to provide legal services to Client Members of AMLC while adhering to the most recent fee schedule.
Maintain an office for the practice of law and be regularly engaged in the practice of law in your state.
 
Provide periodic updates of your personal practice information when requested by AMLC, not less than annually.
 
Contact our Administration Service Center at (866) 820-3626 to verify that a member seeking legal services has active membership which entitles them to discounted fees. This Agreement is an integral part of improving and maintaining our service to both our Client Members and Attorney Affiliates.
An accurate and updated participating attorney listing is essential to effective and efficient service. The enrollment you complete will help us list you in the proper legal, language and geographical areas. Your profile will be automatically generated and placed within our databases for viewing by all of our Client Members.
 
Each participating Attorney Affiliate shall charge eligible AMLC Client Members the appropriate discount agreed upon within the Attorney Affiliate’s profile.
America's Legal Connection Client Members are referred to the attorney directly when seeking legal services. Attorneys will receive, via fax and email, the client’s basic legal issues and membership number for validation.
ACCEPTANCE AND REJECTION OF A CLIENT - WITHDRAWAL FROM REPRESENTATION
The attorney may reject an eligible client on any reasonable grounds, but shall not reject any eligible client seeking services by reason of the amount of fees to which he or she may be entitled to charge. A participating attorney shall accept each eligible client who requests services or is referred to such attorney as a client and render prompt professional service to such client. If an attorney rejects a client the attorney should encourage the client to contact the Administration Service Center to seek an alternate attorney. The attorney's ethical codes prevail in all transactions, therefore an attorney shall not withdraw from employment until he or she has taken reasonable steps to avoid foreseeable prejudice to the rights of his or her client; allowing time for employment of other counsel, delivering to the client all papers and property to which the client is entitled, and complying with all applicable laws and rules.
REREFERRALS AND OTHER PRACTICE
Participating attorneys shall be free to serve clients other than eligible clients at their "normal" applicable rates and to otherwise conduct his or her practice of law without interference by AMLC. AMLC has no part in the attorney/client relationship. AMLC is not privy to and in no way has access to client files or records. AMLC does not, either expressly or impliedly, have any influence or interference with the professional, independent judgment of a participating attorney. From time to time, AMLC may ask the attorneys for area of practice, time spent, and other miscellaneous, generic information for statistical research purposes to benefit all Client Members and participating Attorneys Affiliates alike. A participating attorney is prohibited from referring a member to another attorney outside the lawyer referral and directory service.
EXPLUSION AND RESIGNATION
The term of this Agreement shall be for a period of one year from the date of execution thereof. At the end of the term, the Agreement shall automatically renew for additional one-year periods. This agreement may be terminated by either party by giving the other party written notification of such desire to terminate. In such case, the attorney must continue to represent those clients already engaged at the fees quoted. No new referrals shall be made to said attorney upon termination. If an AMLC member contacts said attorney for services after termination, the attorney shall refer the member back to customer service for a new attorney assignment.
Any and all changes in address or personal practice information should be reported to AMLC immediately so there is no lapse in participation status.
The undersigned attorney agrees to hold I Ocean Companies-America's Legal Connection administrators and clients, harmless and indemnify said parties from any and all liability, loss or damages that such parties may sustain as a result of actions, claims, demands, costs, including reasonable attorney's fees and costs, and judgments arising from any referral made by AMLC to said attorney and that attorney's subsequent malpractice or misrepresentation of that referral.
This Agreement is subject to revocation or modification at any time by AMLC, but any such revocation or modification shall not change the status of any participating Attorney Affiliate. In the event that any of the clauses in this Agreement be deemed by a court of competent jurisdiction to be invalid, said invalidation shall not invalidate or terminate the remainder of the Agreement.
After review of this Agreement, the following attorney hereby agrees to become a participating attorney of record with America's Legal Connection lawyer referral and attorney directory listings.
